1. Agreement to Terms

By accessing, installing, or using Vigenfy ("Service", "App", "Application", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms", "Agreement").

IF YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU MAY NOT USE OUR SERVICE.

1.1 Acceptance of Terms

• These Terms constitute a legally binding agreement between you and Vigenfy
• By clicking "Install App" or using any part of the Service, you accept these Terms
• These Terms apply to all users, visitors, and others who access the Service
• Your use of the Service is also governed by our Privacy Policy

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

• In-app notification banner
• Updated "Last Updated" date at the top of this document

Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Vigenfy is a Shopify application that generates AI-powered product videos from static images.

2.1 Core Features

Video Generation:

• AI-powered video creation from product photos
• A choice of AI video models from third-party providers; the current list is shown in the app and at https://docs.vigenfy.com/models
• Customizable duration, resolution, and aspect ratio
• Optional scene rendering: the product photo is re-staged in a preset setting before it is animated
• Multi-shot ads (several cuts in one video) on models that support them
• Support for various product categories

Video Management:

• Cloud storage for generated videos
• Video library and history
• Download and one-click upload to the product's media
• Automatic thumbnail generation

Customization:

• Custom watermark (logo or text)
• Watermark positioning and opacity control
• Multi-language interface (11 languages)
• Product category auto-detection

Integration:

• Direct upload to Shopify product pages
• Seamless Shopify admin integration
• Credit-based billing system
• Real-time status updates

2.2 Service Limitations

The Service is provided on an "as available" basis and may be subject to:

• Scheduled maintenance windows
• Technical issues or outages
• Third-party service dependencies
• AI model availability
• Rate limits and usage restrictions

3. Eligibility and Account Requirements

3.1 Eligibility

To use Vigenfy, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Have a valid, active Shopify store subscription
• Comply with all applicable laws and regulations
• Not be prohibited from using the Service under applicable law

3.2 Geographic Restrictions

The Service is available worldwide, except in jurisdictions where:

• Local laws prohibit use of AI services
• Sanctions or embargoes are in place
• We choose not to offer the Service

3.3 Shopify Integration

• You must maintain an active Shopify subscription
• You authorize us to access your Shopify store data via Shopify API
• You grant us necessary permissions through Shopify OAuth
• Your Shopify store must comply with Shopify's Terms of Service

4. Account Registration and Security

4.1 Account Creation

• Account creation is automatic upon app installation via Shopify; there is no separate registration
• One account per Shopify store

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your Shopify account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Not sharing your account credentials with third parties
• Using strong passwords and enabling two-factor authentication (on Shopify)

4.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• You abuse the Service or other users
• Your Shopify account is suspended or terminated
• Required by law or legal process
• Your payment fails repeatedly

5. Pricing and Billing

5.1 Subscription Plans

Free Plan:

• Price: $0/month
• Credits: 25, reset every 30 days
• Features: 1 photo per video, Seedance 1.5 Pro and P-Video, automatically written prompt
• Limitations: The Vigenfy watermark is applied to every video; no Advanced Mode, own watermark or AI expand framing

Pro Plan:

• Price: $9.99/month (USD)
• Credits: 500 per month
• Features: All AI models, Advanced Mode (custom prompt, audio, fixed camera, multi-shot ads), own logo or text watermark or none, up to 3 photos, AI expand framing

Pro Plus Plan:

• Price: $19.99/month (USD)
• Credits: 1,200 per month
• Features: Same features as Pro

Pro Max Plan:

• Price: $29.99/month (USD)
• Credits: 2,000 per month
• Features: Same features as Pro

5.2 One-Time Credit Packages

• 1,000 credits for $17
• 2,000 credits for $30
• 5,000 credits for $65

Packages are available on every plan, including Free, are paid once through Shopify and never expire. If you uninstall the app, your unused one-time credits are restored when you reinstall it, unless you have asked us to erase your records.

5.3 Billing Terms

Payment Processing:

• All payments are processed through Shopify Billing API
• Charges appear on your Shopify invoice
• We do not store your payment information

Subscription Billing:

• Subscriptions are billed monthly in advance
• Billing date is the date of subscription activation
• Automatic renewal unless cancelled
• Plan changes (upgrade or downgrade) take effect at the start of your next billing period; your current plan and its credits stay until then and nothing is prorated
• Prices are in USD unless otherwise specified
• Taxes may apply based on your location

Credit System:

• Monthly credits (including the Free plan's 25) reset every 30 days
• Unused monthly credits do not roll over
• One-time credits never expire
• Credits are non-transferable between accounts
• Monthly credits are used before one-time credits
• Credits charged for a video that fails, or that does not finish within one hour, are refunded automatically as one-time credits

Failed Payments:

• Payment collection is handled by Shopify
• If Shopify marks the subscription as declined, frozen, cancelled or expired, the store moves to the Free plan
• You remain responsible for outstanding charges

5.4 Price Changes

• We reserve the right to change prices at any time
• Existing subscribers will receive 30 days' notice of price changes
• New prices apply from next billing cycle
• You may cancel before price change takes effect

5.5 Refunds and Cancellations

Refund Policy:

• All plans and features can be tried on the Free plan before you pay, so subscriptions and credit packages are non-refundable once approved
• We refund only incorrect charges (for example a charge that does not match your plan or purchase) and service failures on our side that prevented you from using what you paid for
• Credits for videos that fail or do not finish are refunded automatically as one-time credits (see 5.3)
• No refunds for unused credits, generated videos or a change of mind
• Refunds are issued through Shopify billing and appear on your Shopify invoice

Cancellation:

• Cancel anytime from the app's Billing page or from your Shopify admin
• Cancellation takes effect at the end of the current billing period
• Your plan, its AI models and the remaining subscription credits stay available until the end of the paid period
• When the paid period ends, the store returns to the Free plan; remaining subscription credits expire, purchased one-time credits are kept
• No partial refunds for mid-month cancellations

Requesting a Refund:

• Email: info@vigenfy.com within 30 days of the charge
• Subject: "Refund Request – your-store.myshopify.com"
• Include: the charge (date and amount from your Shopify invoice) and what went wrong

5.6 Credit Calculation

Credits are calculated per second of generated video. The rate depends on the model, the resolution and whether audio generation is enabled. The current rate of every model is published at https://docs.vigenfy.com/models and the exact cost of a video is shown in the app before you start it; that in-app figure is authoritative. AI expand framing (Pro plans) adds a flat 5 credits per photo. Rendering a scene costs 4 credits per render, charged when you render it and refunded if the render fails. Rates may change when the underlying providers change their prices or when models are added or retired.

6. Acceptable Use

6.1 Permitted Uses

You may use Vigenfy to:

• Generate videos for your legitimate products
• Create marketing content for your business
• Download and use generated videos commercially
• Add videos to your Shopify product pages
• Share videos on social media and marketing channels
• Integrate videos into your e-commerce workflow

6.2 Prohibited Uses

You may NOT:

Content Violations:

• Generate videos containing illegal, harmful, or dangerous content
• Create videos depicting violence, gore, or graphic content
• Generate sexual, pornographic, or adult content
• Create content promoting hate speech, discrimination, or harassment
• Generate misleading, false, or deceptive content
• Create spam or unsolicited commercial content
• Generate content violating intellectual property rights

Service Abuse:

• Attempt to reverse engineer or decompile the Service
• Access the Service through unauthorized means
• Circumvent usage limits or payment systems
• Share accounts or credentials with third parties
• Resell or redistribute the Service or generated videos as a service
• Use the Service to compete with or harm Vigenfy
• Overload, interfere with, or disrupt the Service
• Introduce viruses, malware, or harmful code
• Scrape, crawl, or data mine the Service
• Create multiple accounts to exploit free tier

Legal Violations:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Violate privacy or data protection laws
• Engage in fraudulent activity
• Facilitate illegal transactions

6.3 Consequences of Violation

Violations may result in:

• Warning and required corrective action
• Temporary suspension of account
• Permanent termination of account
• No refund of fees paid
• Legal action if applicable
• Report to authorities if illegal activity

6.4 Content Monitoring

• We reserve the right to monitor generated content
• The AI providers apply their own automated content filters (for example, some models refuse photos that show a person)
• We may review content reported by users or systems
• We do not pre-screen all content

7. Intellectual Property Rights

7.1 Your Content and Rights

Your Product Images:

• You retain full ownership of your product images
• You grant us a limited license to process your images and to pass them, together with the generated prompt, to the third-party AI providers that create your scenes and videos
• Our own use is limited to providing the Service: we do not use your images, prompts or videos to train AI models
• The AI providers process your content under their own terms. Some of them may use the content they receive and the output they generate to develop and improve their own AI models and services, and you agree to that use when you generate a scene or a video. The providers and their policies are listed in our Privacy Policy
• Our license ends when you delete the content or uninstall the app (files are purged from storage within 30 days); content that a provider has already used to improve its models cannot be withdrawn from them

Your Warranty: You warrant that:

• You own or have rights to all product photos you use and any logo you upload
• Your content does not violate third-party rights
• Your content complies with all applicable laws
• You have necessary permissions for all content
• If a photo shows a person, you have that person's permission for this use, including the processing by AI providers described above

Your Responsibility: You are solely responsible for:

• Ensuring you have rights to uploaded content
• Any copyright, trademark, or IP claims related to your content
• Defending any claims arising from your content
• Indemnifying us against claims related to your content

7.2 Generated Videos

Ownership:

• You own the videos you generate using our Service
• Videos are created from your content using our technology
• Ownership is subject to payment of applicable fees

Commercial Use:

• You may use generated videos for any commercial purpose
• You may include videos on your website, social media, ads
• You may modify videos after generation
• You may not claim videos were created without AI assistance

Attribution:

• Attribution to Vigenfy is appreciated but not required
• You may generate watermark-free videos on any Pro plan
• Do not misrepresent the creation process

Restrictions:

• You may not resell raw AI generation services using our platform
• You may not use videos to train competing AI models
• You may not reverse engineer our AI generation process

7.3 Vigenfy's Intellectual Property

Service Ownership: We own all rights to:

• Vigenfy application and Service
• Source code, algorithms, and technology
• User interface and design elements
• Trademarks, logos, and branding
• Documentation and marketing materials
• AI model configurations and prompts

Limited License to You: We grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service
• Generate videos for your business
• Use our interface during your subscription

Restrictions: You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile our code
• Remove copyright or proprietary notices
• Use our trademarks without permission
• Reproduce our documentation without authorization

7.4 Trademark Policy

• "Vigenfy" and our logo are trademarks
• You may not use our trademarks without written permission
• You may reference Vigenfy in factual statements
• You must use our brand guidelines if given permission

7.5 DMCA and Copyright Complaints

If you believe content infringes your copyright:

• Identification of infringing material
• Your contact information
• Statement of good faith belief
• Statement under penalty of perjury
• Physical or electronic signature

We will respond to valid DMCA notices as required by law.

8. Service Availability and Modifications

8.1 Service Availability

Uptime Goal:

• We aim for high availability; current status is published at https://status.vigenfy.com
• No guarantee of uninterrupted access

Maintenance:

• Scheduled maintenance is announced in advance on the status page where possible
• Emergency maintenance may occur without notice
• Maintenance typically performed during low-usage periods

Dependencies: The Service depends on third-party providers:

• Shopify (platform)
• Replicate, fal.ai and Higgsfield (AI models)
• Cloudflare (storage and CDN)
• Hetzner (server hosting)
• OpenAI (prompt generation)

We are not responsible for third-party outages or issues.

8.2 Service Modifications

We reserve the right to:

Feature Changes:

• Add, modify, or remove features
• Update AI models and capabilities
• Change credit pricing for new features
• Discontinue support for outdated features

Notice of Changes:

• Material changes: 30 days' notice
• Minor improvements: No notice required
• Deprecated features: 90 days' notice

Your Options:

• Continue using modified Service
• Cancel subscription if you disagree with changes
• Provide feedback through support channels

8.3 Service Discontinuation

If we discontinue the Service:

• Minimum 90 days' advance notice
• Assistance with data export
• Refund of the unused part of the current billing period
• No liability for discontinuation

9. Warranties and Disclaimers

9.1 Service Provided "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

9.2 Disclaimer of Warranties

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Title
• Quiet enjoyment
• Accuracy or reliability
• Availability or uptime
• Error-free operation

9.3 No Guarantees

WE DO NOT GUARANTEE:

• Uninterrupted or secure access
• Error-free operation
• Defect correction
• Compatibility with all devices or browsers
• Specific results or quality of generated videos
• AI model availability or performance
• Video generation success rate
• Particular resolution or quality output

9.4 AI-Generated Content

Nature of AI:

• Videos are generated by artificial intelligence
• Results may vary and are not guaranteed
• Quality depends on input images and parameters
• AI may produce unexpected or undesired results
• Rendered scenes and the extra camera angles of multi-shot ads are imagined by the AI; fine details of the product can differ slightly from your photo

Your Responsibility:

• Review all generated videos before use
• Ensure videos meet your quality standards
• Verify videos don't contain unintended content
• Test videos on intended platforms

9.5 Third-Party Services

• We are not responsible for third-party service failures
• Third-party terms may apply to their services
• The AI providers handle the content sent to them under their own terms and privacy policies, including any use to improve their models (section 7.1)
• We make no warranties about third-party services

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.2 Excluded Damages

WE ARE NOT LIABLE FOR:

• Indirect or consequential damages
• Loss of profits or revenue
• Loss of data or content
• Loss of business opportunity
• Cost of substitute services
• Personal or emotional damages
• Reputational harm
• Third-party claims

10.3 Circumstances Beyond Our Control

WE ARE NOT LIABLE FOR LOSSES CAUSED BY:

• Third-party service failures (Shopify, Replicate, Cloudflare, etc.)
• Internet or network failures
• Force majeure events
• Your misuse of the Service
• Unauthorized access to your account
• Your violation of these Terms
• Government action or regulation

10.4 Exceptions

Some jurisdictions do not allow limitation of liability for:

• Death or personal injury
• Fraud or fraudulent misrepresentation
• Gross negligence or willful misconduct
• Violations of consumer protection laws

In such jurisdictions, our liability is limited to the minimum required by law.

10.5 Basis of the Bargain

You acknowledge that:

• These limitations are fundamental to our agreement
• We would not provide the Service without these limitations
• These limitations are reasonable given the fees charged
• You have had opportunity to review and understand these limitations

11. Indemnification

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Vigenfy, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your content, including product images and descriptions
• Generated videos created from your content
• Your violation of applicable laws or regulations
• Misrepresentation of facts in your account information
• Breach of your warranties in these Terms

11.2 Defense and Settlement

• We will notify you of any claims subject to indemnification
• You will have sole control of defense and settlement
• You may not settle any claim without our written consent if it:
  • Imposes obligations on us
  • Admits liability on our behalf
  • Affects our rights or reputation
• We may participate in defense at our expense
• You will not agree to any settlement that requires us to pay or admit liability

11.3 Our Rights

We reserve the right to:

• Assume exclusive defense of any claim
• Control settlement of any claim
• Require changes to your use of the Service

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict of law principles.

12.2 Informal Resolution

Before filing a formal claim:

• Contact us at info@vigenfy.com
• Provide detailed description of dispute
• Allow 60 days for good faith negotiations
• Participate in resolution discussions

12.3 Binding Arbitration

Agreement to Arbitrate:

• Most disputes will be resolved through binding arbitration
• Arbitration is instead of court litigation
• You waive the right to jury trial
• Arbitrator's decision is final and binding

Exceptions (may be brought in court):

• Small claims court cases (under jurisdictional limit)
• Intellectual property disputes
• Emergency injunctive relief
• Enforcement of arbitration agreement

Arbitration Rules:

• Conducted by the American Arbitration Association (AAA)
• Governed by the AAA Commercial Arbitration Rules and the Wyoming Uniform Arbitration Act
• Location: Sheridan, Wyoming, United States of America or mutually agreed location
• Language: English
• One arbitrator, mutually selected

Costs:

• Each party pays own attorneys' fees
• Filing fees and arbitrator costs split equally
• Exception: We pay if you prevail or costs exceed litigation

Process:

• Written demand for arbitration
• Selection of arbitrator
• Discovery as permitted by arbitrator
• Hearing if requested
• Written decision with findings

12.4 Class Action Waiver

YOU AGREE THAT:

• Disputes will be resolved individually, not as class actions
• You waive the right to participate in class actions
• You waive the right to serve as class representative
• You may not consolidate claims with other users
• You may not join claims with other users

Exception: You may opt out of this waiver by:

• Sending written notice within 30 days of accepting Terms

• Subject: Class Action Waiver Opt-Out
• Include: Name, store URL, date of acceptance

12.5 Jurisdiction and Venue

If arbitration doesn't apply or is found unenforceable:

• Exclusive jurisdiction: Courts of Sheridan, Wyoming, United States of America
• You consent to personal jurisdiction
• You waive objections to venue

12.6 Limitations Period

Claims must be filed within 1 year of the event giving rise to the claim, or they are permanently barred.

13. Privacy and Data Protection

13.1 Privacy Policy

Your use of the Service is governed by our Privacy Policy, available at: https://vigenfy.com/legal/privacy

13.2 Data Collection and Use

• We collect data as described in our Privacy Policy
• You consent to our data practices by using the Service
• We do not use your content to train AI models; third-party AI providers may use it to improve theirs, as described in section 7.1 and in our Privacy Policy
• You are responsible for obtaining consent from your customers (if applicable)

13.3 Data Security

• We implement reasonable security measures
• No system is completely secure
• You are responsible for account security
• Report security issues to: info@vigenfy.com

13.4 Your Obligations

You must:

• Comply with privacy laws (GDPR, CCPA, KVKK, etc.)
• Have legal basis to process customer data
• Maintain appropriate security for your account
• Use data only for legitimate purposes

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vigenfy regarding the Service.

14.2 Severability

If any provision is found invalid or unenforceable:

• The rest of the Terms remain in full effect
• Invalid provision will be modified to be enforceable
• If modification is not possible, it will be severed

14.3 No Waiver

• Our failure to enforce any right doesn't waive that right
• Waiver of one breach doesn't waive future breaches
• Waivers must be in writing and signed by us

14.4 Assignment

By You:

• You may not assign or transfer these Terms
• You may not delegate your obligations
• Any attempted assignment is void

By Us:

• We may assign these Terms without restriction
• Includes assignments to affiliates, successors, or acquirers
• Assignment doesn't require your consent
• We will notify you of material assignments

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

• Natural disasters
• Wars or terrorism
• Government actions
• Internet or utility failures
• Labor disputes
• Pandemics or epidemics
• Third-party service failures

14.6 Independent Contractors

• These Terms don't create partnership, agency, or employment
• Neither party can bind the other
• You are an independent contractor

14.7 No Third-Party Beneficiaries

• These Terms are between you and Vigenfy only
• No third party has rights under these Terms
• Exception: Our affiliates, officers, and agents (for indemnification)

14.8 Interpretation

• Headings are for convenience only
• "Including" means "including but not limited to"
• Singular includes plural and vice versa
• "Or" is not exclusive unless context requires
• Examples are illustrative, not exhaustive

14.9 Language

• English version is official version
• Translations provided for convenience only
• English version controls in case of conflicts

14.10 Electronic Communications

• You consent to receive electronic communications
• Includes in-app notices and our replies to your emails
• Electronic communications satisfy legal writing requirements
• We do not send marketing emails

14.11 Survival

The following provisions survive termination:

• Payment obligations
• Intellectual property rights
• Limitations of liability
• Indemnification
• Dispute resolution
• General provisions

15. Shopify App Store Policies

15.1 Compliance

We comply with:

• Shopify Partner Program Agreement
• Shopify API License and Terms of Use
• Shopify App Store Requirements
• Shopify Brand Guidelines

15.2 Your Compliance

You must comply with:

• Shopify Terms of Service
• Shopify Acceptable Use Policy
• Shopify API Terms
• Other Shopify policies

15.3 App Removal

If we are removed from Shopify App Store:

• 30 days' notice if possible
• Refund of the unused part of the current billing period
• Assistance with data export
• Alternative distribution may be offered

16. Feedback and Suggestions

16.1 Voluntary Feedback

• You may provide feedback, suggestions, or ideas
• Feedback is voluntary and non-confidential
• We are not obligated to use or respond to feedback
• We may use feedback without restriction or compensation

16.2 License of Feedback

By providing feedback, you grant us:

• Worldwide, perpetual, irrevocable license
• Royalty-free, fully sublicensable rights
• Rights to use, modify, and distribute
• No attribution or compensation required

18. Acknowledgment and Agreement

BY INSTALLING, ACCESSING, OR USING VIGENFY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.

You also acknowledge that:

• You have authority to bind your business to these Terms
• You will comply with all applicable laws
• You are responsible for your use of the Service
• You understand the limitations and disclaimers
• You accept the dispute resolution provisions
• You have had opportunity to seek legal advice
